1. Introduction
1.1 About Tathmeer.ai
Tathmeer.ai is an agricultural technology platform and ecosystem designed to connect, support and enable participants across the agricultural and AgriTech value chain. The Platform provides digital tools and services that may include artificial intelligence-powered agricultural assistance, farm and project management capabilities, agricultural knowledge and information, technology discovery and engagement, marketplace functionality, connections between ecosystem participants, technology testing and validation, innovation and incubation support, educational resources and other related services.
1.2 Purpose of These Terms
These General Terms & Conditions (“Terms”) establish the legal terms governing access to and use of the Tathmeer.ai platform and the services made available through it. These Terms are intended to apply consistently to users accessing Tathmeer.ai through the Tathmeer.ai website, mobile application, software interfaces, APIs or any other digital channel through which Tathmeer.ai makes its services available.
1.3 Contracting Entity
The Platform is operated by Tathmeer Agri Tech Centre, a company duly incorporated and licensed in the United Arab Emirates (“Tathmeer.ai”, “Tathmeer”, “Company”, “we”, “us” or “our”).
The legal entity details, commercial licence information, registered address and other legally required information shall be displayed on the Platform and may be updated from time to time in accordance with applicable law.
1.4 Scope of Application
These Terms apply to every person or legal entity that accesses, registers with, browses, interacts with or otherwise uses the Platform, regardless of whether such use is free or paid and regardless of whether the user accesses the Platform through a website, mobile application or another authorized interface.
Additional terms may apply to particular categories of users or particular services. Such additional terms shall form part of the contractual relationship between Tathmeer.ai and the relevant user.
2. Definitions and Interpretation
2.1 Definitions
For purposes of these Terms, the following terms shall have the meanings set out below unless the context requires otherwise:
“Account” means the registered account created by a User to access one or more features or services of the Platform.
“AI Services” means artificial intelligence, machine learning, automated decision-support, predictive, analytical, conversational or other algorithmic functionality made available through the Platform.
“AI Output” means any response, recommendation, analysis, prediction, summary, insight, alert, suggestion, generated content or other output produced by an AI Service.
“Applicable Law” means all laws, regulations, decrees, decisions, directives, regulatory requirements and legally binding rules applicable to Tathmeer.ai, the User, the relevant transaction or the relevant activity, including applicable laws of the United Arab Emirates and the relevant Emirate.
“Content” means information, text, images, photographs, videos, documents, data, graphics, software, communications and other materials made available through or submitted to the Platform.
“Platform” means the Tathmeer.ai website, mobile application, software, digital interfaces, APIs and related digital services operated or authorized by Tathmeer.ai.
“Privacy Policy” means the Tathmeer.ai privacy policy governing the collection, use, storage, disclosure and processing of personal data.
“Services” means the products, features, functionality and services made available by Tathmeer.ai through the Platform from time to time.
“User” means any individual, company, organization, farm, business or other legal entity that accesses or uses the Platform.
“User Content” means Content submitted, uploaded, published, transmitted or otherwise provided by a User through the Platform.
2.2 Interpretation
References to the singular include the plural and references to the plural include the singular where the context permits. References to a person include an individual, company, partnership, association, organization, governmental authority or other legal entity.
Headings are included for convenience and shall not affect the interpretation of these Terms.
3. Acceptance of These Terms
3.1 Agreement to the Terms
By accessing, browsing, registering for or using the Platform, the User acknowledges that the User has read, understood and agreed to be bound by these Terms and any additional terms applicable to the Services used by the User.
Where Tathmeer.ai requires express acceptance, the User may be required to select an acceptance checkbox, click an “Accept” button, complete an electronic acceptance process or provide another form of electronic consent before accessing the relevant Service.
3.2 Electronic Acceptance
The User acknowledges that acceptance of these Terms through an electronic mechanism may constitute electronic acceptance of a legally binding agreement to the extent permitted by Applicable Law.
The UAE’s Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services provides legal recognition to electronic documents and establishes a framework for electronic transactions and trust services.
3.3 Failure to Accept
If the User does not agree to these Terms, the User must not access or use the Platform or any Service governed by these Terms.
5. Registration and User Accounts
5.1 Account Creation
Certain Services may require the User to create an Account by providing information requested by Tathmeer.ai. The User agrees that all information submitted during registration shall be accurate, complete and not misleading.
5.2 Maintaining Accurate Information
The User is responsible for keeping Account information accurate and current and shall promptly update information where a change may materially affect the User’s identity, eligibility, role, contact information, business status or use of the Services.
5.3 Account Credentials
The User is responsible for maintaining the confidentiality of login credentials, authentication information and other security credentials associated with the Account. The User must not knowingly disclose such credentials to an unauthorized person.
5.4 Unauthorized Access
The User shall notify Tathmeer.ai promptly if the User becomes aware of unauthorized access to the Account, suspected credential compromise or any other security incident affecting the Account.
5.5 Responsibility for Account Activity
Subject to Applicable Law, the User is responsible for activity conducted through the User’s Account where such activity results from the User’s failure to maintain appropriate account security or otherwise results from the User’s actions or omissions.
5.6 One Account Per Person or Entity
Tathmeer.ai may restrict the creation of multiple Accounts by the same individual or entity where multiple Accounts are being used to circumvent Platform rules, verification requirements, transaction limits or other controls.
6. User Roles and Access
6.1 Role-Based Platform
Tathmeer.ai may provide different user roles because different participants in the agricultural ecosystem require different services, information and functionality.
Such roles may include Farmers, Buyers, Sellers, Technology Providers, Innovators, Experts and other categories introduced by Tathmeer.ai.
6.2 Role Selection
A User may be required to select or apply for a role during registration or onboarding. Selection of a role does not automatically constitute approval, verification, certification or endorsement by Tathmeer.ai.
6.3 Verification
Tathmeer.ai may request information, documentation, licences, registrations, professional qualifications or other evidence to verify the identity, authority or eligibility of a User for a particular role or Service.
6.4 Role Changes
Tathmeer.ai may permit a User to change or add roles subject to applicable eligibility and verification requirements.
6.5 Role-Specific Terms
A User’s use of Services associated with a particular role shall additionally be governed by the applicable role-specific terms. Where there is a conflict between these General Terms and role-specific terms, the role-specific terms shall prevail only to the extent of the conflict.
7. Nature and Purpose of the Platform
7.1 Technology and Ecosystem Platform
Tathmeer.ai operates primarily as a digital technology and ecosystem platform intended to facilitate access to agricultural information, technology, services, opportunities and relationships between ecosystem participants.
7.2 Facilitation of Interactions
Tathmeer.ai may facilitate communication, discovery, matching, project management, information exchange, technology engagement, marketplace interactions and other activities between Users.
Such facilitation does not, by itself, mean that Tathmeer.ai is a party to an agreement between Users.
7.3 Independent User Relationships
Unless expressly stated otherwise in a specific agreement, Users are responsible for independently evaluating and entering into arrangements with other Users. Any commercial, professional, agricultural, technology or other relationship formed between Users remains subject to the terms agreed between those Users.
7.4 No Automatic Endorsement
The availability of a User, product, technology, service, listing, recommendation or opportunity on the Platform does not constitute a representation by Tathmeer.ai that the relevant User, product, technology, service or opportunity is suitable, accurate, commercially viable, legally compliant or guaranteed to achieve a particular outcome.
7.5 Verification Does Not Constitute Unlimited Guarantee
Where Tathmeer.ai performs identity verification, document verification, technology testing, validation, assessment or another review process, the scope and purpose of that process shall be limited to what Tathmeer.ai expressly states. A verification or assessment shall not be interpreted as an unlimited warranty or guarantee regarding future performance.
8. User Responsibilities
8.1 Lawful Use
The User shall use the Platform and Services only for lawful purposes and in compliance with Applicable Law.
8.2 Accuracy of Information
The User shall ensure that information, documents, declarations, listings, descriptions, data and other materials submitted to Tathmeer.ai are accurate, complete and not misleading.
8.3 Updates
Where information previously supplied to Tathmeer.ai becomes materially inaccurate, incomplete or outdated, the User shall take reasonable steps to update the information through the Platform or notify Tathmeer.ai where appropriate.
8.4 Compliance with Role Requirements
Users shall comply with any legal, regulatory, licensing, professional or operational requirements applicable to the activities they conduct through the Platform.
8.5 Due Diligence
Users are responsible for conducting appropriate due diligence before entering into transactions, commercial relationships, technology deployments, professional engagements or other arrangements with another User.
8.6 Respect for Other Users
Users shall conduct themselves in a professional and lawful manner and shall not knowingly harass, threaten, deceive, defame, impersonate or unlawfully interfere with another User.
9. User Content
9.1 Submission of Content
The Platform may permit Users to submit, upload, publish or otherwise provide User Content, including text, photographs, videos, documents, agricultural information, farm information, product information, technical information, project information, questions, feedback and other materials.
9.2 User Ownership
Subject to the rights expressly granted to Tathmeer.ai under these Terms, the User retains ownership of User Content to the extent the User owns the relevant rights in that content.
9.3 User Responsibility
The User is responsible for ensuring that the User has all rights, permissions and lawful authority necessary to submit User Content to Tathmeer.ai and to permit Tathmeer.ai to process that content for the purposes described in these Terms and the Privacy Policy.
9.4 License to Operate the Platform
By submitting User Content, the User grants Tathmeer.ai a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, process and technically modify that User Content to the extent reasonably necessary to operate, maintain, secure and provide the Platform and the Services requested by the User.
9.5 User-Controlled Sharing
Where the Platform allows a User to share User Content with another User or category of Users, the User authorizes Tathmeer.ai to make the selected content available to the intended recipients for the relevant Platform purpose.
9.6 Aggregated and Anonymized Information
Tathmeer.ai may create and use aggregated or anonymized information derived from Platform data where such information no longer identifies an individual and such use is permitted under Applicable Law.
10. AI Services and AI-Generated Outputs
10.1 AI Functionality
Tathmeer.ai may use artificial intelligence, machine learning, statistical models, automated processing and other computational technologies to provide Users with information, recommendations, analyses, predictions, summaries, alerts and other forms of decision-support.
10.2 Nature of AI Outputs
AI Outputs are generated using automated systems and may depend on the quality, completeness, timeliness and availability of the information provided to the system.
10.3 No Guarantee of Accuracy
Tathmeer.ai does not represent that every AI Output will be accurate, complete, current, error-free or suitable for a particular agricultural, commercial or operational circumstance.
10.4 Human Judgment
Users remain responsible for reviewing AI Outputs and applying appropriate human, agricultural, technical, commercial or professional judgment before relying upon them.
10.5 Agricultural Decisions
AI Outputs relating to crops, soil, irrigation, pests, diseases, weather, farm operations, inputs, production, yield or other agricultural matters are intended to support decision-making and should not be treated as an unconditional substitute for qualified professional advice, field inspection, scientific analysis or other appropriate verification.
10.6 External Factors
Agricultural outcomes may be affected by weather, soil conditions, water availability, pests, diseases, agricultural practices, input quality, market conditions and other factors outside Tathmeer.ai’s control. Accordingly, Tathmeer.ai does not guarantee that reliance on an AI Output will produce a particular agricultural or commercial result.
10.7 Continuous Improvement
Tathmeer.ai may modify, improve, retrain, replace, restrict or discontinue AI models and AI-enabled features as part of ongoing product development, security, quality improvement, regulatory compliance or operational requirements.
11. Agricultural, Commercial and Operational Decisions
11.1 User Responsibility
The User is solely responsible for decisions made based on information, recommendations, analyses or other content obtained through the Platform, subject to any express obligations that Tathmeer.ai may separately assume under a written agreement.
11.2 Verification of Information
Where a decision could reasonably result in material agricultural, financial, commercial, operational, legal or safety consequences, the User should independently verify relevant information and obtain appropriate professional advice before taking action.
11.3 No Guaranteed Outcomes
Tathmeer.ai does not guarantee that use of the Platform will result in increased crop yields, reduced costs, improved profitability, successful technology deployment, successful project completion, increased sales, successful procurement, investment returns or any other specific outcome.
12. Marketplace and User-to-User Interactions
12.1 Marketplace Facilitation
Where Tathmeer.ai provides marketplace or business-matching functionality, the Platform may allow Users to discover, communicate with and transact with other Users.
12.2 Independent Transactions
Unless expressly stated otherwise, Tathmeer.ai is not the seller, buyer, manufacturer, distributor, technology owner, service provider or contracting party in a transaction between Users merely because the transaction is facilitated through the Platform.
12.3 User Responsibilities
Each User is responsible for ensuring that the User’s products, services, representations, listings, transactions and contractual arrangements comply with Applicable Law and any applicable Platform rules.
12.4 Additional Terms
Users participating as Farmers, Buyers, Sellers or Technology Providers shall additionally comply with the relevant role-specific terms published by Tathmeer.ai.
13. Payments, Fees and Taxes
13.1 Paid Services
Certain Services may be provided subject to subscription fees, transaction fees, commissions, service charges or other fees.
13.2 Pricing
Where a fee applies, Tathmeer.ai shall make the applicable price or pricing mechanism available to the User before the User becomes obligated to make the relevant payment, subject to the nature of the Service and Applicable Law.
13.3 Third-Party Payment Providers
Tathmeer.ai may use third-party payment processors or financial service providers to process payments. Such providers may impose their own terms, verification requirements or processing procedures.
13.4 Taxes
The User is responsible for any taxes, duties or other governmental charges properly applicable to the User’s transactions, except where Applicable Law requires Tathmeer.ai to collect or pay such amounts.
13.5 Refunds
Refunds, cancellations and payment reversals shall be governed by the applicable Service terms, cancellation policy or transaction terms communicated to the User.
14. Electronic Communications and Records
14.1 Electronic Communications
The User agrees that Tathmeer.ai may communicate electronically through email, SMS, mobile application notifications, website notifications, in-platform messages and other electronic communication channels made available by Tathmeer.ai.
14.2 Electronic Notices
Where permitted by Applicable Law, electronic communications may constitute written communications and electronic records may be maintained as evidence of transactions, notices, acknowledgements and User interactions.
14.3 Electronic Records
Tathmeer.ai may maintain electronic records of registrations, acceptances, transactions, communications, submissions and other Platform activity in accordance with its legal, operational, security and record-retention requirements.
The UAE’s electronic transactions framework recognizes the legal force of electronic documents and provides a framework for electronic dealings and trust services.
14.4 Contact Information
Users are responsible for ensuring that their registered email address, telephone number and other contact information remain accurate and accessible.
15. Intellectual Property
15.1 Tathmeer.ai Intellectual Property
The Platform, including its software, source and object code, interfaces, designs, databases, workflows, algorithms, AI systems, models, methodologies, trademarks, logos, documentation and other proprietary materials, is owned by or licensed to Tathmeer.ai unless expressly stated otherwise.
15.2 Limited License to Users
Subject to these Terms, Tathmeer.ai grants the User a limited, non-exclusive, non-transferable and revocable right to access and use the Platform solely for its intended purposes.
15.3 Restrictions
Except where expressly permitted by Applicable Law or written authorization from Tathmeer.ai, the User shall not reproduce, distribute, modify, adapt, reverse engineer, decompile, disassemble, extract, scrape, commercially exploit, sublicense or create derivative works from the Platform or its proprietary components.
15.4 Trademarks
The Tathmeer.ai name, logos, trademarks, service marks and related branding may not be used without prior written authorization from Tathmeer.ai except where such use is expressly permitted by Applicable Law.
16. Third-Party Services and Content
16.1 Third-Party Services
The Platform may integrate or provide access to third-party services, APIs, software, payment systems, mapping services, analytics services, cloud infrastructure, communication services or other external technologies.
16.2 Third-Party Terms
Certain third-party services may be subject to separate terms and privacy policies, and Users are responsible for reviewing and complying with those terms where applicable.
16.3 Third-Party Information
The Platform may display information supplied by third parties. Tathmeer.ai does not automatically guarantee the accuracy, completeness or reliability of third-party information.
16.4 Third-Party Availability
Tathmeer.ai shall not be responsible for the independent availability, performance or conduct of third-party services except to the extent responsibility cannot lawfully be excluded or is expressly assumed by Tathmeer.ai under a separate agreement.
17. Privacy and Personal Data
17.1 Privacy Policy
The collection, use, storage, processing and disclosure of personal data through the Platform shall be governed by Tathmeer.ai’s Privacy Policy, together with Applicable Law.
17.2 Applicable Data Protection Requirements
Tathmeer.ai shall process personal data in accordance with the data-protection requirements applicable to its activities and the relevant User relationship.
The UAE’s Federal Decree-Law No. 45 of 2021 concerning the Protection of Personal Data forms part of the UAE’s federal data-protection framework.
17.3 User Responsibilities
Users shall not submit another person’s personal data to the Platform unless they have a lawful basis and the necessary authority to do so.
17.4 Additional Data Requirements
Certain Services may require the collection or processing of additional information, including agricultural, business, technical or location-related information. The applicable purposes and processing arrangements shall be described in the Privacy Policy and relevant Service documentation.
18. Platform Security
18.1 Security Measures
Tathmeer.ai shall implement reasonable technical and organizational measures appropriate to the nature of the Platform and the risks associated with its operation.
18.2 User Security Obligations
Users shall take reasonable measures to protect their Account credentials, devices and access methods and shall not intentionally introduce malicious software, unauthorized code or other security threats into the Platform.
18.3 Security Incidents
Users shall promptly notify Tathmeer.ai if they become aware of unauthorized access, suspected security vulnerabilities, compromised credentials or other incidents that may affect the security of the Platform or another User.
18.4 Prohibited Security Activities
Users shall not attempt to bypass security controls, gain unauthorized access, interfere with Platform infrastructure, conduct unauthorized penetration testing, introduce malicious code or otherwise compromise the confidentiality, integrity or availability of the Platform.
19. Platform Availability and Changes
19.1 Availability
Tathmeer.ai will use reasonable efforts to maintain the availability and functionality of the Platform; however, uninterrupted availability cannot be guaranteed.
19.2 Maintenance
The Platform may occasionally be unavailable or partially restricted because of scheduled maintenance, emergency maintenance, upgrades, security measures, technical failures or other operational requirements.
19.3 Changes to Services
Tathmeer.ai may introduce, modify, enhance, restrict, suspend or discontinue Platform features and Services from time to time.
19.4 Material Changes
Where a change materially affects a User’s contractual rights or obligations and Applicable Law requires notice or consent, Tathmeer.ai shall provide such notice or obtain such consent in the manner required by law.
20. Prohibited Activities
20.1 General Prohibition
Users shall not use the Platform for any purpose that is unlawful, fraudulent, deceptive, abusive, harmful or inconsistent with these Terms.
20.2 Prohibited Conduct
Without limiting the general prohibition above, Users shall not:
- •use the Platform to commit, facilitate or conceal fraud, deception or any unlawful activity;
- •impersonate another person, organization or entity or falsely represent an affiliation or authority;
- •knowingly submit false, misleading or materially incomplete information;
- •gain or attempt to gain unauthorized access to another User’s Account, Platform systems or infrastructure;
- •introduce viruses, malware, ransomware, malicious code or other harmful technology;
- •interfere with the operation, security, availability or performance of the Platform;
- •scrape, harvest, copy or systematically extract Platform data without authorization;
- •reverse engineer or attempt to obtain proprietary source code, algorithms, models or systems except where such activity is expressly permitted by Applicable Law;
- •infringe intellectual-property, privacy, confidentiality or other rights of another person;
- •use the Platform to distribute unlawful, defamatory, fraudulent, threatening or otherwise prohibited content;
- •manipulate ratings, reviews, listings, transactions, recommendations or Platform records;
- •use the Platform to facilitate the sale or distribution of prohibited goods or services;
- •use the Platform for unlawful financial, investment, agricultural, commercial or professional activities; or
- •assist or encourage another person to engage in any activity prohibited by these Terms or Applicable Law.
20.3 Regulatory Compliance
Where a User’s activity requires a licence, permit, professional authorization, product approval, agricultural authorization, commercial registration or other regulatory approval, the User is responsible for obtaining and maintaining the relevant authorization.
21. User Representations and Warranties
21.1 Authority
Each User represents that the User has the legal capacity and authority necessary to accept these Terms and use the Platform.
21.2 Accuracy
Each User represents that information submitted to Tathmeer.ai is accurate and not knowingly misleading.
21.3 Rights to Content
Each User represents that the User has the necessary rights and permissions to submit User Content and grant the rights described in these Terms.
21.4 Compliance
Each User represents that the User’s use of the Platform and Services will comply with Applicable Law and any applicable role-specific or Service-specific requirements.
22. Disclaimers
22.1 Platform Disclaimer
To the maximum extent permitted by Applicable Law, the Platform and its Services are provided on an “as available” basis and Tathmeer.ai does not guarantee that the Platform will always be uninterrupted, completely error-free or available at all times.
22.2 Information Disclaimer
Information available through the Platform may be derived from Users, third-party sources, automated systems, AI models or other sources and should be evaluated according to the circumstances in which it is used.
22.3 Agricultural Disclaimer
Agricultural information and AI-generated recommendations are intended to support decision-making and should not be treated as an unconditional guarantee of agricultural performance or a substitute for appropriate professional judgment.
22.4 Commercial Disclaimer
Tathmeer.ai does not guarantee that any User, product, service, technology, commercial opportunity or transaction presented through the Platform will produce a particular financial or commercial result.
22.5 Mandatory Rights
Nothing in these Terms is intended to exclude or restrict any legal right, warranty, consumer protection or other protection that cannot lawfully be excluded or restricted under Applicable Law.
23. Limitation of Liability
23.1 General Limitation
To the maximum extent permitted by Applicable Law, Tathmeer.ai shall not be liable for indirect, incidental, special, consequential or purely economic losses arising from or relating to the User’s use of the Platform, including loss of profits, revenue, anticipated savings, business opportunities, goodwill or data.
23.2 User-to-User Activities
To the maximum extent permitted by Applicable Law, Tathmeer.ai shall not be responsible for the acts, omissions, representations, products, services or performance of another User where Tathmeer.ai is not the contracting party for the relevant transaction.
23.3 AI Outputs
To the maximum extent permitted by Applicable Law, Tathmeer.ai shall not be responsible for a User’s decision to act or refrain from acting solely on the basis of an AI Output where the relevant decision was made without appropriate review, verification or professional judgment.
23.4 Mandatory Liability
Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by Applicable Law.
Nothing in these Terms shall be interpreted as excluding liability for fraud, wilful misconduct or any other liability that Applicable Law does not permit the parties to exclude or limit.
24. Indemnification
24.1 User Indemnification
To the extent permitted by Applicable Law, the User shall be responsible for losses, claims, liabilities, damages, costs and reasonable expenses arising from the User’s material breach of these Terms, unlawful use of the Platform, infringement of third-party rights or submission of User Content for which the User did not have the necessary rights or authorization.
24.2 Limitation
Nothing in this section requires a User to indemnify Tathmeer.ai for losses caused by Tathmeer.ai’s own conduct to the extent such indemnification would be prohibited by Applicable Law.
25. Suspension and Termination
25.1 Suspension Rights
Tathmeer.ai may temporarily suspend or restrict access to an Account or Service where reasonably necessary to investigate suspected violations, protect Platform security, comply with Applicable Law, protect other Users or prevent fraud, abuse or misuse.
25.2 Termination
Tathmeer.ai may terminate a User’s access to the Platform where the User materially breaches these Terms, repeatedly violates Platform requirements, provides materially false information, engages in unlawful activity or where continued access is reasonably necessary to comply with Applicable Law.
25.3 Immediate Action
Where Tathmeer.ai reasonably believes that immediate action is necessary to protect Users, Platform security, legal compliance or the integrity of the Platform, Tathmeer.ai may suspend access without prior notice to the extent permitted by Applicable Law.
25.4 User Termination
A User may discontinue use of the Platform and may request closure of the User’s Account in accordance with the procedures made available by Tathmeer.ai.
26. Effect of Termination
26.1 Loss of Access
Following termination or suspension, the User may no longer be able to access some or all Platform features, User Content, listings, communications or Services.
26.2 Continuing Obligations
Termination shall not automatically release either party from obligations that accrued before termination or provisions that by their nature are intended to survive termination.
26.3 Retention of Information
Tathmeer.ai may retain information after termination where retention is reasonably necessary for legal compliance, dispute resolution, fraud prevention, security, accounting, audit, regulatory requirements or other legitimate purposes, subject to Applicable Law and the Privacy Policy.
27. Confidentiality
27.1 Confidential Information
Where Users receive confidential or non-public information from Tathmeer.ai or another User through the Platform, the receiving party shall use reasonable care to protect such information and shall not disclose it except where authorized, required for the relevant Service or required by Applicable Law.
27.2 Public Information
Information that is already lawfully public, independently obtained without breach of confidentiality or required to be disclosed by law shall not be treated as confidential solely because it was made available through the Platform.
27.3 Separate Agreements
Where a User and Tathmeer.ai enter into a separate confidentiality or non-disclosure agreement, that agreement shall govern the relevant confidential information to the extent of any conflict.
28. Complaints and Dispute Handling
28.1 Complaints
Users may submit complaints relating to the Platform or Services through the contact channels specified by Tathmeer.ai.
28.2 User-to-User Disputes
Where a dispute arises solely between two Users concerning a transaction or relationship in which Tathmeer.ai is not a contracting party, the Users remain primarily responsible for resolving that dispute between themselves, subject to any dispute-resolution service expressly provided by Tathmeer.ai.
28.3 Tathmeer.ai Assistance
Where appropriate, Tathmeer.ai may facilitate communication or provide reasonable administrative assistance in resolving disputes between Users; however, such assistance does not automatically make Tathmeer.ai a party to the underlying transaction.
29. Changes to These Terms
29.1 Right to Update
Tathmeer.ai may amend these Terms from time to time to reflect changes in the Platform, Services, business operations, technology, security requirements or Applicable Law.
29.2 Notice
The updated Terms shall be published through the Platform together with an updated “Last Updated” date. Where Applicable Law requires additional notice or affirmative consent for material changes, Tathmeer.ai shall provide such notice or obtain such consent.
29.3 Acceptance of Updated Terms
Where permitted by Applicable Law, continued use of the Platform after the effective date of amended Terms constitutes acceptance of the updated Terms.
30. Force Majeure
Tathmeer.ai shall not be responsible for delay or failure to perform an obligation where such delay or failure results from circumstances beyond its reasonable control, including natural disasters, extreme weather events, epidemics, pandemics, war, terrorism, civil unrest, government action, regulatory restrictions, telecommunications failures, infrastructure failures, power failures, major cybersecurity incidents affecting third-party infrastructure or other events that could not reasonably have been prevented or overcome.
31. Assignment
31.1 User Assignment
The User may not transfer or assign rights or obligations under these Terms without the prior written consent of Tathmeer.ai, except where such restriction is prohibited by Applicable Law.
31.2 Tathmeer.ai Assignment
Tathmeer.ai may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, transfer of business or assets or other legitimate corporate transaction, subject to Applicable Law.
32. Severability
If any provision of these Terms is determined by a competent court or authority to be invalid, unlawful or unenforceable, that provision shall be modified or severed only to the extent necessary to make it enforceable, and the remaining provisions shall continue to apply.
33. Waiver
A failure or delay by Tathmeer.ai in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy, and a waiver on one occasion shall not prevent Tathmeer.ai from exercising the same or another right or remedy on a subsequent occasion.
34. Entire Agreement
These General Terms, together with the applicable Privacy Policy, Cookie Policy, role-specific terms, Service-specific terms, pricing or subscription terms, marketplace rules and other policies expressly incorporated into the Platform, constitute the agreement governing the User’s relationship with Tathmeer.ai concerning the relevant use of the Platform.
Where a specific written agreement between Tathmeer.ai and a User expressly states that it overrides or supplements these Terms, that agreement shall prevail to the extent of the stated conflict.
35. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates, together with the applicable laws and regulations of the Emirate in which the Tathmeer.ai contracting entity is established, except to the extent mandatory Applicable Law requires otherwise.
Nothing in these Terms shall prevent the application of mandatory provisions of UAE law that cannot lawfully be excluded by contractual agreement.
36. Jurisdiction
Subject to any mandatory dispute-resolution requirements or consumer protections applicable under UAE law, any dispute arising out of or relating to these Terms or the User’s use of the Platform shall be subject to the jurisdiction of the competent courts of the United Arab Emirates and the competent courts of the Emirate in which the Tathmeer.ai contracting entity is established.
The final published version of these Terms shall identify the specific Emirate and court jurisdiction after confirmation of Tathmeer.ai’s legal entity, place of establishment and applicable licensing authority.
37. Language
37.1 Languages
Tathmeer.ai may make these Terms available in English, Arabic and such other languages as Tathmeer.ai may determine.
37.2 Arabic Version
Where Arabic documentation is required under Applicable Law, Tathmeer.ai shall provide the relevant Arabic version in accordance with such requirements.
37.3 Conflict Between Languages
The final published Terms shall expressly state which language version governs in the event of a conflict, subject always to any mandatory requirements of UAE law.
38. Notices
38.1 Notices to Users
Tathmeer.ai may provide notices to Users through email, mobile application notifications, website notifications, Account notifications or other electronic means associated with the User’s Account.
38.2 Notices to Tathmeer.ai
Legal notices and formal communications intended for Tathmeer.ai shall be sent through the official contact details published on the Platform or through any other formal notice mechanism specified by Tathmeer.ai.
38.3 Updating Contact Details
The User is responsible for maintaining accurate contact information and for ensuring that communications sent to the registered contact details can be received.
39. User Acceptance
By creating an Account, accessing the Platform, using any Service or completing an electronic acceptance mechanism provided by Tathmeer.ai, the User confirms that the User has read and understood these Terms and agrees to be legally bound by them.
Where the User acts on behalf of an organization, the User further confirms that the User has the authority to accept these Terms on behalf of that organization.
The User acknowledges that these Terms may be accepted electronically and that records of such acceptance may be maintained by Tathmeer.ai in accordance with Applicable Law and its record-retention requirements.
